Glossary

Registered agent

Also known as: Resident agent, RA

party

A person or company with a physical US address designated by a US entity to receive legal and official mail. Every US LLC and corporation must maintain a registered agent in its state of formation.

Full entry

Why you need one

The state wants a reliable, physical address for service of process (lawsuit paperwork), franchise tax notices, and other official correspondence. For non-US founders, this cannot be an overseas address — the state requires an in-state address.

Common providers

Northwest, Harvard Business Services, LegalZoom, and specialty formation services. BorderFile does not resell registered-agent services; we coordinate with your existing provider or help you shop for one.

When you change RA

The state requires formal notice to update the agent of record. Changing RA is a routine filing but it must be done cleanly — if your old RA stops forwarding mail before the new one takes over, you can miss a franchise-tax notice.
