Also known as: Entity Classification Election

form

The election by which an eligible US entity changes its default US federal tax classification — for example, an LLC electing to be taxed as a C-corporation instead of a disregarded entity or partnership.

Why you’d file it

The default classifications are set by the “check-the-box” regulations. A single-member LLC defaults to a disregarded entity; a multi-member LLC defaults to a partnership. Filing Form 8832 overrides the default — most commonly to elect C-corp status for a US LLC that wants to retain earnings or offer QSBS-style equity.

Why it matters for 5472

A single-member LLC that has filed Form 8832 to be a corporation is no longer disregarded. It files a full Form 1120, not a pro-forma one, and the 5472 attaches to the full 1120 in the usual way. BorderFile’s standard 5472 service is scoped to disregarded LLCs; filers who have elected corporate taxation go through the expert desk.
